These Terms of Service ("Terms") govern access to and use of the websites, APIs, SDKs, dashboards, documentation, and related services made available by Anakin Technologies, Inc., a Delaware corporation ("Anakin," "we," "us," or "our"). The Terms form a legally binding agreement between Anakin and you.
If you are using the Services on behalf of a company or other entity, "you" includes that entity and you represent you have authority to bind it.
1. Definitions
"Account" means the user account you create to access the Services.
"API Keys" means credentials (including tokens) used to authenticate requests to the Services.
"Customer Content" means all data, content, materials, and information you submit to, transmit through, or process using the Services, including (a) URLs, domains, parameters, prompts, configuration settings, request payloads, headers, authentication material you provide (to the extent permitted), and (b) any data you upload or provide for processing.
"Target" means any third-party website, application, API, database, service, or other source that you direct the Services to access.
"Output" means the results returned by the Services (including extracted data, rendered content, screenshots, structured outputs, and similar).
"Service Data" means operational and technical data generated by or about the Services, including telemetry, logs, performance metrics, rate/abuse signals, derived insights, aggregated statistics, and models/heuristics trained or improved through operating the Services (excluding Customer Content except as incorporated into aggregated/derived forms).
"Enterprise Plan" means a paid plan governed by a separate written agreement signed by Anakin that explicitly states it is an "Enterprise" agreement and may provide different data-use or indemnity terms.
2. Acceptance of Terms
By accessing or using the Services, you agree to these Terms and acknowledge that you have read and understood them. If you do not agree, do not use the Services.
We may update these Terms from time to time. The updated Terms will be posted on anakin.io (or a successor location) and will be effective as of the "Effective Date" shown. By continuing to use the Services after changes become effective, you agree to the revised Terms.
3. Eligibility; Authority; Intended Use
You must be at least 18 years old (or the age of majority where you live) and capable of forming a binding contract.
The Services are intended for professional, commercial, and business use. To the maximum extent permitted by law, you waive any consumer protections that would apply to consumer products/services. Where such waivers are not permitted, those protections apply only to the minimum extent required by law.
4. The Services
Anakin provides web data access, extraction, and related automation capabilities. The Services may use automated browsers, headless clients, network routing, third-party infrastructure, and other techniques to retrieve content from Targets and return Output.
We may add, remove, modify, or discontinue features at any time, including changing limits, supported formats, and availability, without liability.
5. Accounts, API Keys, and Security
You are responsible for:
- maintaining the confidentiality of your Account credentials and API Keys;
- all activity occurring under your Account and API Keys (whether authorized by you or not); and
- ensuring your systems and integrations are secure.
You must promptly notify us at support@anakin.io of any suspected compromise. We may suspend or rotate API Keys and restrict access to protect the Services or others.
We may require additional verification, impose security controls, or limit usage at any time.
6. Your Responsibilities (Scraping, Access Rights, and Legal Compliance)
6.1 You control Targets; you assume the risk
You choose what Targets to access and what to do with Output. You are solely responsible for:
- whether you have legal rights/authority to access a Target (including behind login or restricted areas);
- whether scraping, retrieval, and use of Output complies with all applicable laws, regulations, and third-party rights (including intellectual property, privacy, data protection, computer misuse/anti-hacking laws, contract/terms-of-service obligations, and confidentiality duties); and
- your storage, onward transfer, publication, sale, and other use of Output.
Anakin does not provide legal advice and does not guarantee your use is lawful.
6.2 Non-public content and credentials
The Services are not limited to "public web." You may configure the Services to access content that requires authentication, session cookies, tokens, or other credentials only if you are authorized to do so.
If you provide any authentication materials, you represent and warrant that:
- you are authorized to provide them to Anakin for the purpose of accessing the Target;
- doing so does not breach any obligations you have to others; and
- you have obtained all necessary permissions and consents.
6.3 CAPTCHAs and anti-bot mechanisms
Targets may use CAPTCHAs, bot-detection, rate limiting, or other access controls ("Access Controls"). By using the Services, you expressly:
- instruct and authorize Anakin to attempt to access the Targets you specify, including when Access Controls are present; and
- represent and warrant you have the legal right and authorization to request such access and to receive/use the Output.
You acknowledge that access attempts may result in Target blocking, enforcement actions, or other consequences, and you assume all associated risk.
6.4 No proxy service offering
We do not sell or offer "proxy services" as a standalone product. However, you acknowledge that the Services may use third-party networks, routing, or infrastructure (including proxy-like mechanisms) as part of delivering the Services.
7. Acceptable Use; Prohibited Conduct
You may use the Services only in compliance with these Terms and all applicable laws.
You must not (and must not attempt to):
- use the Services for unlawful, harmful, or fraudulent activities;
- violate or infringe any third party's rights (including IP, privacy, publicity, or trade secret rights);
- collect, process, or disclose personal data or sensitive data (e.g., health, financial, government identifiers) without a valid legal basis and all required notices/consents;
- use the Services to facilitate malware, phishing, credential theft, exploitation, or unauthorized access;
- interfere with or disrupt Targets or the Services (including excessive load, denial-of-service, or evasion of rate limits);
- probe, scan, or test the vulnerability of our systems, bypass our access controls, or attempt to circumvent our safety or usage enforcement;
- reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Services (except to the limited extent prohibited by law);
- resell, rent, or provide access to the Services to third parties as a service bureau, time-sharing, or managed service without our written permission;
- use the Services to build, benchmark, or improve a competing product or service, or to train models primarily intended to compete with the Services;
- create multiple Accounts to evade limits, enforcement, pricing, or plan restrictions.
We may investigate suspected violations and may suspend or terminate access immediately.
8. Plans, Fees, Billing, Taxes, and No Refunds
8.1 Plans
We may offer a free tier and paid plans. Plan features, usage caps, and pricing are described on anakin.io or in the dashboard and may change at any time.
8.2 Auto-renewal
Paid subscriptions renew automatically for successive billing periods unless you cancel before the renewal date. You authorize us (and our payment processors) to charge your payment method for recurring fees, overages, taxes, and other amounts due.
8.3 No refunds
All fees are non-refundable to the maximum extent permitted by law, including prepaid fees, unused credits, partial periods, downgrades, or unused time after cancellation or suspension.
8.4 Taxes
Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and similar government assessments, except taxes on our net income.
8.5 Non-payment
We may suspend or terminate access for non-payment or suspected payment fraud. You remain responsible for all amounts accrued through the date of suspension/termination.
9. Free Tier and Trials
If we offer a free tier or trial:
- it may be limited by time, features, or usage;
- it may be changed or discontinued at any time; and
- it is provided "as is" without any obligations to continue offering it.
Creating multiple Accounts to obtain additional free usage is prohibited.
10. Customer Content, Output, and Data Rights
10.1 Your rights in Customer Content and Output
As between you and Anakin:
- you retain any rights you may have in Customer Content; and
- you own your Output as between you and us, subject to third-party rights (Targets may own or control content, and you may need licenses/permissions).
We do not grant you any rights to third-party content beyond what you already have.
10.2 License you grant to Anakin
You grant Anakin (and our affiliates, contractors, and subprocessors) a worldwide, non-exclusive, royalty-free license to host, store, cache, reproduce, process, transmit, display, modify (for formatting/processing), and otherwise use Customer Content and Output to:
- provide, operate, and maintain the Services;
- prevent or address security issues, abuse, fraud, and operational incidents;
- comply with law and enforce these Terms;
- perform analytics, debugging, quality assurance, and service improvement; and
- train and improve our systems, including models, heuristics, classifiers, extractors, and related technology.
This license is intentionally broad and survives termination to the extent necessary for the above purposes, and for retained/archived copies (including backups and derived/aggregated forms).
Enterprise opt-out: If you are on an Enterprise Plan with a written agreement that explicitly opts out of training on Customer Content/Output, then that agreement controls for the opted-out data scope.
10.3 Service Data; derived insights; models
Anakin owns all right, title, and interest in and to:
- the Services (including software, SDKs, documentation, and underlying technology);
- Service Data; and
- all improvements, derivatives, and learnings arising from operating the Services, including any models/heuristics trained or improved through use of the Services.
Nothing in these Terms restricts our ability to use and commercialize Service Data and improvements, provided we do not disclose your non-public Customer Content in identifiable form except as permitted by these Terms and the Privacy Policy.
10.4 You must have rights to submit Customer Content
You represent and warrant that you have all rights, permissions, and legal bases necessary to provide Customer Content and instruct us to process it as described in these Terms.
11. Feedback
If you provide suggestions, ideas, feature requests, or feedback ("Feedback"), you agree that:
- Feedback is provided voluntarily and without expectation of compensation; and
- Feedback is assigned to Anakin (or, where assignment is not legally effective, you grant Anakin a perpetual, irrevocable, worldwide, sublicensable license to use and exploit the Feedback for any purpose).
12. Intellectual Property
Except for the limited rights expressly granted in these Terms, Anakin and its licensors retain all rights in the Services. No rights are granted by implication.
You may not use our names, logos, or trademarks without our prior written consent.
13. Third-Party Services and Targets
The Services interact with Targets and may integrate with third-party services (e.g., payment processors, infrastructure providers, analytics, AI model providers). Targets and third-party services are not controlled by Anakin.
We are not responsible for:
- Target availability, accuracy, content, legality, or changes;
- blocks, bans, legal notices, enforcement, or countermeasures taken by Targets; or
- third-party service interruptions.
14. Suspension and Termination
14.1 Our rights
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, including if we believe you:
- violated these Terms;
- pose a security, legal, compliance, reputational, or operational risk;
- used the Services in a way that could harm Targets, third parties, or us; or
- are likely to create liability for Anakin.
We may also remove or disable access to any Customer Content or Output we store, and we may retain logs and records as described in these Terms and the Privacy Policy.
14.2 Your rights
You may stop using the Services at any time. If you cancel a subscription, cancellation takes effect at the end of the then-current billing period unless stated otherwise in your plan/dashboard.
No refunds apply (Section 8.3).
14.3 Effect of termination
Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive will survive, including IP, licenses, disclaimers, limitations, indemnities, and dispute resolution.
15. Disclaimers
THE SERVICES, OUTPUT, AND ANY RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANAKIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- OUTPUT WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR USE; OR
- ACCESS TO ANY TARGET WILL BE AVAILABLE OR LAWFUL.
You are solely responsible for verifying Output and for your use of it.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
ANAKIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
ANAKIN'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO ANAKIN FOR THE SERVICES IN THE ONE (1) MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the maximum extent permitted.
17. Indemnification
You will defend, indemnify, and hold harmless Anakin, its affiliates, and each of their officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Services, Targets, or Output;
- your Customer Content;
- any allegation that you lacked rights/authority to access Targets or to collect/use Output;
- your violation of law or third-party rights; or
- your breach of these Terms.
No customer indemnity from Anakin: Unless a separate Enterprise Plan agreement expressly provides otherwise, Anakin does not indemnify you.
18. Dispute Resolution; Arbitration; Class Action Waiver
18.1 Informal resolution
Before filing a claim, you agree to contact us at support@anakin.io and provide a brief description of the dispute and the relief requested. The parties will attempt to resolve the dispute in good faith.
18.2 Binding arbitration (where permitted)
Except for disputes eligible for small claims court and claims seeking injunctive relief for intellectual property misuse or unauthorized access, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered under the Federal Arbitration Act and applicable arbitration rules, with the seat/venue in Wilmington, Delaware (unless we agree otherwise). Arbitration may be conducted remotely.
18.3 Class action waiver
YOU AND ANAKIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
If this waiver is unenforceable for a particular claim, then that claim must be litigated in court (not as a class action) to the maximum extent permitted.
18.4 Jury trial waiver
To the maximum extent permitted by law, you and Anakin waive any right to a jury trial.
19. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules.
To the extent a dispute is not subject to arbitration (or arbitration is unenforceable), you agree to exclusive jurisdiction and venue in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
20. Export Controls and Sanctions
You may not use the Services if you are located in, or are a national/resident of, any country subject to comprehensive sanctions, or if you are prohibited under applicable export control or sanctions laws. You agree to comply with all applicable export and sanctions laws.
21. Assignment
You may not assign these Terms without Anakin's prior written consent. Anakin may assign these Terms (in whole or in part) without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
22. Notices
We may provide notices via the Services, email, or other reasonable means. Notices to Anakin should be sent to support@anakin.io.
23. Report Abuse
To report abuse, suspected illegal activity, rights infringement, or security concerns relating to the Services, contact support@anakin.io (subject line: "Report Abuse").
24. Entire Agreement; Severability; Interpretation
These Terms (and any documents incorporated by reference, including the Privacy Policy) are the entire agreement between you and Anakin regarding the Services and supersede prior agreements on that subject.
If any provision is held unenforceable, the remaining provisions remain in effect. Headings are for convenience only and do not affect interpretation.
